I set up an account and auto-trading, paid the fees, and ended up underperforming the market, even before fees, so exercised my right to receive a refund of the paid license fee as a penalty for not achieving a greater than 20% over marker return. I also requested a refund of the on-going trading fees charged for the losing year. I was told I would receive the penalty amount, and am awaiting the wire transfer, so tentatively the 20% promise was kept. However, they would only pay the penalty if they also got the license back. The contract does not stipulate that; it only says that a performance guarantee of the amount paid for the license would be returned if the 20% over market promise was not achieved. The fee refund was never connected to a loss of a license anywhere in the contract. Contrary to thier position, a standard licensing agreement including a guarantee would include specifically that the license would be terminated if the performance guarantee was paid out. Theirs does not. They are interpreting it the way they want it to be, not the way it is. I want a refund of the $4,088 paid for trading fees.Business Response

Key Points of Response
Defined Contractual Remedy: The agreement specifically dictates the scope of the guarantee: "If OmniFunds does not achieve this performance as defined below, the License Fee shall be refunded." By naming the License Fee as the defined remedy, the contract excludes unlisted remedies, such as operational trading fees.
Performance Guarantee Honored: We have fully honored our contractual commitment by approving the refund of the initial software license fee under the exact terms of the agreement. The wire transfer for this refund is currently in process.
License Revocation Upon Refund: Refunding the license fee legally rescinds the license REMOVEDStandard commercial software principles dictate that receiving a complete, 100% money-back refund on a software license terminates the user's right to retain or operate that software.
Ongoing Operational Trading Fees: The $4,088 in ongoing trading fees covered real-time execution routing, live data connectivity, and server infrastructure consumed during live trading operations. These service costs fall entirely outside the scope of the contractually defined license fee refund.

Nirvana Systems remains dedicated to honoring our written agreements in full. The contract (attached) explicitly defines the single, precise remedy for failing to meet the performance benchmark: "If OmniFunds does not achieve this performance as defined below, the License Fee shall be refunded."
Because the agreement designates the License Fee as the sole contractually defined remedy, ongoing operational trading fees ($4,088) fall outside the scope of the performance guarantee. Designating a specific remedy legally excludes unstated monetary claims. The trading fees in question represent third-party routing, live data connectivity, and server infrastructure actively consumed over the course of live trading.
Furthermore, because the contractual remedy is a full refund of the License Fee, executing that refund returns the consideration paid for software access, which legally rescinds the underlying license REMOVEDA customer cannot receive a complete refund of a license fee while maintaining active rights to operate the software.
Proposed Resolution
License Fee Refund: We will complete the refund for the performance guarantee (the software license fee) upon final account offboarding and formal deactivation of the software license.
Account Deactivation: The auto-trading software license will be revoked and the trading account formally closed.
Fulfilling the software license fee refund represents complete satisfaction of the performance guarantee explicitly detailed in our agreement.

I am rejecting this response because: what Nirvana wants the REMOVEDto say and what it says are different, and the wording does not support their position. The request for refund of trading fees has nothing to do with the REMOVED, it has to do with the poor execution of trades that actually lost money. They are linked, however in that Nirvana promised a return that did not materialize, and I repeatedly asked them why their algorithm was so poorly operating only to be told it would work out and I could not stop trading or the account would be cut off. Had I been able to stop trading through them when I wanted to, I would not have incurred the trading fees and would have seen a positive return. The trading fees did not buy properly executed (timing and/or stocks) transactions which caused the failure.The fees should be refunded.

I purchased a "license" from REMOVED/Omni Funds on March 31/April 1 - Order Nirv-REMOVED, also #D14530. I was told this was suitable for a novice investor such as myself. After almost 2 weeks of trying to get an account through REMOVEDa third company REMOVED, it became evident that this was way more complex than my abilities. They wanted me to fill out forms that said my experience with financial transactions included options, derivates, etc., none of which I have!. I requested a refund on April 12 and was sent back and forth between REMOVED, the sales person, and REMOVED, the customer service person who assured me REMOVEDwould let me know when my refund would be applied. I have called several times and have not recieved my refund. I want it immediately.REMOVED
