We, *** ***** County Pets Alive, a Texas nonprofit 501(c)(3), hired Incorp as our registered agent in 2017. However, in 2019, our entity was forfeited by the state. Therefore giving the contract no consideration for us any longer and according to their contract, this dissolution would have dissolved the contract. Despite this, Incorp continued to charge us registered agent fees. In 2023, we reinstated the nonprofit and provided Incorp with proof that our registered agent was changed, which should have allowed us to cancel our contract with them again. However, they refuse to stop charging us and do not adhere to the terms of their own contract.According to the Incorp contract for discontinuing services, cancellation conditions include that the business must be judicially or administratively dissolved, withdrawn, canceled, or otherwise terminated in that jurisdiction. Incorp issued us the Texas Notice of Forfeiture of Registration on February 1, 2019, but they continue to charge us every year for services that we no longer receive. They are holding us to a contract that lacks consideration on our part and are attempting to force us into a contract from which we have withdrawn twice: first, involuntarily, and second, voluntarily. At this point, I feel as though I am trapped in a contract that has been canceled since 2019. On top of that they sent us fraudulent bills, as if they were being our registered agent when in fact the nonprofit was dissolved by their own documents that they sent to us. I request the cancellation of all debts, which we believe should never have been charged to us because the contract no longer had value or consideration for our nonprofit, and I ask that they delete our account and stop all future charges. I filed for an *** years ago and never went into business. Incorp was my registered agent. Fast forward to two years ago I finally decided to dissolve/terminate the *** properly rather than let it be abandoned. I had a past due balance with incorp which i paid but they continue to insist they are my registered agent despite evidence to the contrary with the secretary of state along with the fact its been terminated. I simply want them to cancel my debt and services and stop bothering me. I no longer live in the country and debt collection is a silly waste of time for all of us.Business Response

My previous company ****************************** used Incorp Services as our registered agent. On 07/14/2023, it was involuntarily dissolved by the IL secretary of state. However, Incorp continued to charge our credit card on file for 12/01/2023-11/30/2024 (invoice #: *******). I called to cancel the service but they refused citing some absurd reasons. Today I received another invoice (#*******) for 12/01/2024-11/30/2025. I am totally speechless!Business Response

I have reviewed the account, and see the signed terms of use agreement dated 12-31-2019 states that the business entity must be voluntarily dissolved with the state, so that registered agent services can be removed. According to the state of Illinois, the *** was Involuntarily dissolved, thus, InCorp Services remains listed as the registered agent for this business entity. I used INcorp for their services and they will not cancel my account. They charged me to cancel the account last year but keep telling me that I can't cancel for some reason or another. Incorp was failed to cancel all our services, and continues to charge despite being told to stop. They have convoluted the process of canceling and ignored email telling them to stop all charges. I had utilized Incorp from 2017-2021 for the entity filing for Virginia and ********************. July 24, 2021 I initiated cancellation of their services through their online portal. When notification was sent to me that I needed to pay the annual fee I call Incorp and spoke with ****** who walked me through the cancellation process. Claiming I had missed part of the cancellation process. In December 2021, I was again contacted relating to the issue. I spoke with *** who assured me that the cancellation was now complete and I would not hear from them again. Today, 20 Nov 2023, I received a call from a collection agency stating I owed funds in excess of $700 for filings in 2021, 2022, 2023. I cancelled their services. The credit they had on file expired so I was not charged. But I do not owe Incorp anything. I have attempted to cancel with them multiple times, but it is clear that their system does not allow an individual to cancel their services. My operations ceased on June 30, 2021 and all of my business dealing were finalized by 31 July 2021. And now they are demanding payment. Until today I had not reviewed the gmail account for MakeBlooms since January 18, 2022.Business Response

As a nonprofit organization, striving with so many difficulties like funding etc, we have been dealing with additional interesting struggle with InCorp.We do not know what else to do to tell InCorp charging us for the services they do not provide and cancel the contract we do not want since last year. Although we made it very clear in written and verbal communications that we do not want the services for the branches already closed, InCorp keep charging us and even give our nonprofit to collection agency to get few hundred dollars they do not deserve.It must be very clear to all why nonprofits can not survive to do more good to people.I will keep you updated here about the issue and the solutions offered.I hope sharing our disappointing experience in this platform will be helpful to solve our issue and guidance for prospective costumers of InCorp Services.Business Response

It appears according to the accounts notes, the client was notified both on July 7 2023 as well as on July 10 2023 that the business entity in question for the ***************** needs to be withdrawn, which InCorp Services provided detail instructions as to how this needed to be completed. To this day, that is still not done, thus leaving InCorp Services listed on the Secretary of State as the active agent for the business entity in question, thus the existing invoice. The signed terms of use document explains in detail how the business entity needs to withdraw from the registered state which in turn would remove InCorp Services as the providing party. I canceled my services with this organization, in writing, in 2016 and numerous times since. My account was paid in full at the time of cancelation. I no longer wanted or needed their services. They have no contract or legal right to force me to keep doing business with them. Yet they ignored my cancelation and continued to bill me. It has been 7 years and now they are trying to "settle" the account with me for money that they billed after I canceled. I will take further action if needed. They have no legal standing to collect this. This is basically a scam with mild harassment trying to get me to pay them money that they are not owed. What kind of business refuses to acknowledge the customer left them for 7 years? It reeks of a scam. If they had legal grounds, this matter would have reached its conclusion 7 years or more ago. They have no legal claim to anything from me. At this point, they are a nuisance. They need to zero out all the charges and discontinue contacting me. Buyers beware.Business Response
