The following describes a government action that has been resolved by either a settlement or a decision by a court or administrative agency. If the matter is being appealed, it will be noted below.The Maryland Securities Commissioner found that Georgeson SC, Georgeson LLC, and Computershare, Inc. misled shareholders by charging fees for “Shareholder CleanUp” programs without disclosing that they could update stock records for free directly through Computershare. This omission violated Maryland securities laws.
As a result, the respondents were ordered to cease and desist from further violations and were held jointly liable for a $2.25 million civil penalty. In addition, Georgeson LLC was required to pay restitution to affected shareholders and implement a Remediation Plan to refund fees, while Computershare’s responsibility was limited to the penalty and compliance measures.
