    We attempted to sign with another factoring company and were told we couldn’t because FleetSmart had already filed a UCC against us without our consent. They claim to have a recorded conversation where we supposedly agreed, but that’s a lie. On the call, my husband clearly stated he did not want to move forward, yet the agent continued to push.

    We have never signed anything or done any business with FleetSmart, yet they’re demanding $500 and a 45-day wait just to release us.

    This is shady and possibly fraudulent. They twisted a casual “yes” into supposed consent so don’t even respond to their small talk.

    We’re currently looking into fraud claims. There is power in numbers, and we need to come together and hold them accountable for their dishonest business practices.

    This company called me several times offering their services and products. During our phone conversation, they offered factoring services, fuel cards, and loan options. I informed them to send the information via email so I could look over it and I would respond via email if we wanted to sign up with their company. After researching, we decided not to sign up due to all of the bad reviews. We continued to search for other factoring companies. While signing up with another factoring company I was informed that Fleetsmarts had filed a UCC-1 form against our company. I immediately contacted Fleetsmarts and demanded that they remove the lien against my company. They stated they could only remove it if I paid $500. I have made several calls and sent many emails to this company and they are refusing to remove the lien unless I pay the money. We never agreed to or authorized them to sign us up. We have never used any of their services or products. Please help me remove this lien from my company. I have submitted a letter of release but they are still refusing to remove the lien. Any assistance would be greatly appreciated.

    Our Senior Account Specialist ****** and Account Manager Ovie spoke with you on July 1, 2025 at 2:43:18 PM for a duration of 19 minutes and 27 seconds. During this conversation, ****** explained in detail the process of opening a fuel credit line, including the UCC-1 filing:

    "Need to make sure that once you need the credit line in the future then we can set it up for you, OK? So we're going to send the cards out and while you're waiting for them to arrive, you're based in North Carolina, right?"

    You responded: "Correct."

    ****** continued: "OK, perfect. So in North Carolina, to open up a credit line for fuel, since we will not be doing any credit checks, we file what's called the UCC-1, which registers us with the state as a payee and allows us to open that fuel credit line for you, OK?"

    When you asked: "And it’s called the what?", ****** clarified: "So it’s the UCC-1. This is the notification to the Secretary of State that we will be doing business with you through the credit line in the future."

    After confirming that you understood, ****** further stated: "We just want to make sure this is clear since if we do business with you through factoring and potential factoring and the credit line, we need to make sure that we comply with the Secretary of State, and that is through the UCC-1, OK?"

    You replied: "OK."

    Following this call, we sent you an email with additional details about the program.

    We would also like to address a common misconception perpetuated by some competitors. Our UCC-1 filing does not restrict you from factoring with other companies. The filing was placed solely to open a fuel credit line for your business.

    Unfortunately, some factoring companies have resorted to misleading tactics, falsely claiming that Fleetsmarts prevents clients from working with other providers. This is often done in an effort to pressure customers into removing our filing so they can lock them into exclusive agreements—typically at higher rates and with fewer benefits.

    I am rejecting this response because:

    I never agreed to be signed up with Fleetsmarts. The response OK is simply acknowledging that a statement was heard. I informed them to send me the information via email and if agreed I will sign up via email. I didn't provide a verbal agreement to enroll into Fleetsmarts products or services. I didn't request a line of credit nor did I approve of them placing a lien against our company. This company fraudulently filed a UCC lien and I am requesting a Letter of Release and UCC termination immediately. We don't do business with scammers and Fleetsmarts has scammed hundreds of companies the same way they are trying to scam us. Hundreds of complaints have been filed against them. Please terminate UCC filing # ************ immediately and please provide a letter of Release at no charge. Fleetsmarts fraudulently placed a lien against my company and now requires $500 to remove the lien. That is a scam.

    To further clarify: Fleetsmarts does not charge fees to remove a UCC-1 if there was an error in filing. However, in this case, the filing was made based on your verbal authorization during the recorded call. If you would like, we can provide a copy of this recording for your reference.

    specialist at Fleetsmarts to enroll our company into your services. I informed her to send me the information via email to allow me time to review and consent via email. She even stated i had 24 hours to respond.  I never responded to the email which implies I  didn't want the services nor products. Fleetsmart called us numerous times so we did finality listen to the specialist for 19 minutes.  Fleetsmarts is known for this type of behavior which is why I didn't respond to the email to sign up. Even with all my efforts,  I still managed to get scammed by Fleetsmarts. I will never do business with Fleetsmarts. All I ask is for them to remove the UCC filing at no charge because it was done without being authorized.

    I am rejecting this response because we never gave consent to file the UCC 1 lien. As I previously stated, I informed your representative to send me an email and she stated I had 24 hours to respond. I NEVER RESPONDED WHICH IMPLIES I DON'T WANT YOUR SERVICES NOR PRODUCTS!!! Verbal consent was never provided. The word OK is simply an acknowledgement that I hear you. We never stated,  ok sign me up or ok I agree or ok I want your products. Fleetsmarts is a SCAM! You fraudulently file liens against companies and then require them to pay $500 or use your service to have the lien removed. That makes no sense. I don't do business with SCAMMERS which is why I never replied to the email. I did my own research after talking to you representative and saw the hundreds of bad reviews. Fleetsmarts called us numerous times trying to get us to sign up. When we finally listened to what they had to offer, I stated send me an email so I can review the information. None of your representatives speaks English as their first language making it even harder to understand which is why I requested the information via email. This entire process is ridiculous.     When this process was described to you, you responded with a clear “OK” after confirming you understood. At no point during or after the call did you object to this step or request that we hold off.     I sing up with company in 2023 . For fuel discount program only. They where trying to get me to use with for factorying also . But I declined the offer.     This company targeted my business when sending fuel information and files a UCC and then forces me to sign a contract and forcing me to factor with them when i do not need factoring at all.     I took the time to personally review your account, including the recorded call from October 24, 2024, and I want to be transparent about what we found.

    On that call, our Senior Account Specialist, *******, clearly explained that, since you’re based in California, opening a fuel credit line requires us to file a UCC-1—which is standard practice for these types of accounts. Here’s the exact transcript from that call:

    “Note of that, you want to pay for your credit line on every Friday, OK, now I'll tell you what, this is what I'll do, OK, first thing first, we're going to send out the card to you, *********, OK?
    Meanwhile, meanwhile, while you're waiting for them to arrive, you're based out in California.
    Right, OK, now in the state of California to open up a credit line for fuel we file what's called a UCC one which registers us with the state as a payee and allows us to open that fuel credit line. Fair enough?

    OK.

    OK, OK, we just sent you an email with some details look that over if you can when we get off the phone and make sure everything looks right.”

    No misleading language was used, and everything was followed up via email for full transparency. Due to file restrictions on the BBB site, we are unable to upload the MP3 recording; however, we’ve attached the confirmation email that was sent to ********************** right after the call. Please let us know if you would like us to resend it for your records.
    Additionally, we noted that you added a method of payment (MOP) to pay the $500 administrative fee. However, when our representative advised you that a copy of your ID and the card would need to be uploaded to proceed, the call was unexpectedly disconnected.

    Now, regarding your request for a Letter of Release (LOR)—our policy on this is consistent across the board. The $500 administrative release fee exists because the UCC-1 filing process involves legal, compliance, and administrative resources. It is not simply a document—it is a legally binding filing that requires careful handling and removal through the appropriate state channels.

    I would also like to clarify that the UCC-1 filing does not require authorization from the debtor. However, because some companies have been spreading misleading information about UCC filings, we now secure express authenticated records to defend ourselves.     I am rejecting this response because:as said by this company earlier that we will receive LOR within two days, after waiting I am texting this message, I did not receive any letter from this company and I was calling them on daily basis from morning to evening, every time new staff members picked up the phone and they even don’t reply in good way, sometimes hold my call , sometimes don’t respond the question. Actually in last week of june some of their staff members told me that my initial request for LOR started in 19 may and if I will pay 500$ they will give me UCC1 termination letter on 3rd July , that is reason that I was agree to pay them so that it will be a mental peace for me but now when everything is done they get the 500$ , their staff behaving rudely and didn’t responding well, and not give LOR to me , so its a request to your company and BBB as well please help me to come out from this.

    I m ******* ****** from ******************* my mc number is 1664013-C . - I am seeking to get some help. I never signed up with this company. I have emails from them but never signed any document. They filed a *** on my company and I am in the process of buying a home and its pending because of them. I called and spoke to a *** and told him the situation and he hung up on me. I never used their service, never used their cards and they filed a *** without asking of without signing any of their documents. I need a *** release.     Sometime in December, 2024, I was contacted by ***** of Fleetsmarts, **********************************************, with an offer for insurance, factoring, and a fuel line of credit. *****, is an account manager based in ********** and works for Fleetsmarts remotely. I had just registered my trucking company. I advised ***** I was looking for quotes and was not ready to move forward as I was in the process of purchasing my truck. He made follow up calls in February and April, and I kept telling him I was not ready. In all these instances, there was no agreements in place, just conversations. My team and I have been shopping around and found a company that will cater to our needs. Upon processing our insurance with a company of choice, I was advised that we need to get a Letter of Release from Fleetsmarts. This is the 1st time my admin or I heard of anything binding. Upon reaching out to Fleetsmarts, were told we verbally agreed to work with them once we were ready, they have filed a UCC1 for us and we have to work with them for at least *********************************** authority to make such filings on our behalf without our knowledge and was told our continuous conversations were binding. I asked for the contact they allege we signed or agreed to these terms. All I am getting is it was a verbal agreement and now they want $500 and a signed document. Only then can we get the release letter we seek, plus that process for the release takes 45 days regardless. Should, we want to terminate our contract we have to pay them $500 and still wait 45 days. I have to get insurance for my business in place and proceed with our commitments elsewhere

    During the call, our representative explained that, as part of the process of setting up a fuel credit line with no credit check, we file a UCC-1 financing statement with the state. This is standard protocol for establishing a fuel line of credit.

    At the time, Janlord stated:
    “To prepare everything in our system and to open up a credit line for the fuel card in the future as well, we file what's called the UCC one to register us with the state as the payee and allow us to open that fuel credit line for you, OK?”

    To which you responded:
    “OK.”

    He then followed up by informing you:
    “Now we sent you the email, sir. Check that later and make sure everything looks good to you.”

    This exchange clearly shows that you verbally agreed to proceed, and it is on this basis that we initiated the UCC filing. Those follow-up actions justify the UCC filing in accordance with federal and industry standards.

    We would also like to emphasize that our UCC filing does not restrict you from working with other factoring companies.     I am filing this complaint to warn others and to document a deeply unprofessional and possibly fraudulent experience with Blue Water Capital/Fleetsmarts. I have become the target of what appears to be a verbal UCC scam. I have repeatedly requested a Letter of Release (LOR) due to an unauthorized UCC-1 filing that is preventing me from setting up with factoring company. Despite asking for proof of a signed contract that would justify this filing, the company failed to provide any documentation. They record your conversations with the representatives and then use those conversations to claim you agreed to use their services, but they provide no notification of you being recorded so beware- they are illegally recording and using these conversations against you. They then refuse to speak with you when you start recording the conversations. I have since been subjected to repeated harassing phone calls. The representative named "******" now only calls and remains silent before hanging up because I have started to record our phone calls amidst all the bad reviews I have read. They refuse to provide an invoice for the $500 they claim they need to release the LOR but fail to provide an invoice or receipt for payment received, has not provided any written proof of a contract or transaction or agreement, and is not responding professionally. I have exhausted all reasonable attempts to resolve this issue. Given the unresponsiveness and suspicious conduct of this company, I have now filed a police report and am pursuing legal action. I am also submitting formal complaints to the FTC, CFPB, and state authorities.

    I am rejecting this response because:   I am not interested in conducting any business with Fleetsmarts or Blue Water Capital. The UCC-1 filing was made based on a verbal agreement, without written consent or supporting documentation.
    To date, Fleetsmarts has failed to provide any valid documentation substantiating the lien. As you are aware, UCC Section 9-611 requires that a debtor be informed and provide consent prior to such a filing. Filing a UCC-1 without such consent and notice is a clear violation of this provision.
    I am therefore requesting that you promptly issue a Letter of Release to terminate this unauthorized UCC filing.

    Fleetsmart blue water capital has illegally filed a ucc on my name and business. They snuck in a factoring application in the same docusign as the fuel application. We have asked nicely, screamed and yelled and have tried everything for them to release our ucc. We do not want to do factoring with us. They tricked us. This company is a scam! Our UCC filing is a standard practice tied solely to the fuel credit line. If another factoring company refuses to work with you because of this filing, we urge you to request written proof from them. Unfortunately, it’s not uncommon for factoring competitors to use misleading tactics to create fear or confusion.

    3. Fee and Release
    We want to clarify that your signed Terms of Agreement clearly state:
    “e. Fleetsmarts provides, at additional cost, Letter of Release and Buyout Agreements upon request.”
    This clause applies to customers who choose not to fulfill their commitment or wish to terminate the UCC and related services early. In your case, based on the level of service setup, documentation, and administrative processing, that cost is $2,500.
