    Complaint:
    ******** LLC entered into a contract with Gravity Labs LLC, represented by Shaun Cohen, to develop source code for a mobile app known as FMK. The agreement ran from September 2024 through April 2025. ******** paid Gravity Labs in accordance with the contract.

    Despite payment, Gravity Labs failed to meet the milestones outlined in the agreement and its Exhibit A. Some incomplete code was delivered, but final code and key deadlines were missed. On May 30, 2025, Swampfox’s attorney issued a formal demand letter terminating the agreement and requesting all source code and access to development assets within 10 days, warning of litigation if ignored.

    ******** then issued a General Release of Legal Claims offering to resolve the matter amicably by requesting the code, access to systems, and deletion of proprietary data. Shaun Cohen has not responded to either the demand or the release.

    This continued non-responsiveness, paired with Gravity Labs' failure to deliver despite full payment, constitutes a serious breach of contract, bad-faith conduct, and potentially fraudulent conduct.

    Desired Resolution:
    ******** LLC seeks one of the following outcomes:

    Immediate delivery of complete and draft code per the May 30, 2025 demand and release

    Full access to development systems and assets to recover work paid for

    Full refund of payments made for unfulfilled services

    This complaint is submitted in good faith to resolve the matter before pursuing legal action.
