I engaged this company to file for my LLC in September 2024, but they mishandled the filing process, resulting in significant delaysfar longer than it would have taken had I filed it myself. After numerous attempts to resolve the issue, I requested a refund of $327.80 in October 2024. With my credit card company investigation, they lost the case and I won the refund amount. However they deducted the $50 Arizona filing fee, citing that they lost the dispute with my credit card company but the $50 is non-refundable (see attachment). Therefore I received the refund minus the $50, and the case was closed and resolved.During this process, the employee who initially handled my case left the company, and the new representative is now making baseless accusations and attempting to extort money from me. They are threatening to *****************, claiming that they have a registered agent listed, and are attempting to charge me an additional $274 for work that they did not complete.I have already paid the filing fee of $50, which is the only amount they are entitled to, as their delays have cost me both time and business. Furthermore, they have removed my access to their website portal, meaning I am no longer receiving any services from them. Given these circumstances, I refuse to pay for a service they failed to deliver. This situation amounts to extortion and is simply unacceptable.Business Response

I am rejecting this response because:I settled the chargeback with MyCompanyWorks on October 31, 2024, when they willingly refunded my money minus the $50. It is inappropriate and unethical for them to attempt to collect additional funds from a matter that was already resolved and for which I am not liable. Therefore, I will not be making any further payments, as this issue was settled on October 31, 2024.

I no longer use this company's services. I was sent a bill in the fall 2022. I called & spoke with someone on the phone & told them that I was not using their services any longer. I explained to them that I actually had a credit on my account from a charge to obtain a new *** for company in KY. However, I already had an ***. So, someone from MyCompanyWorks called & told me that I would have a credit on my account for the *** charge since I already had an ***. So, I do not owe money because I do not use their services any longer. Yet, they sent a bill for $97.00 to collection. I should be getting a refund not a bill. I had requested back in the fall & recently the following: 1) a copy of the original documents showing this was a debt that I created, 2) an itemized printout of all activity on the account showing all charges, ********************** 3) a detailed account of all communication that has taken place on the account, & 4) what is the debt for? I do not have any services/products currently with this company. I have not received any of this information. I do not know why I am being billed for services that I am not receiving, especially after I notified the company that I would need their ********* *** requested a refund of the overpayment that I made on my account.Business Response

Hello,
We received an email from our client the morning of May 10th, 2023, prior to our office opening, and promptly responded with all requested information as soon as we opened.
Unfortunately there is no record of any registered agent service cancellation attempts from the client prior to that email, as the last email we received from the client was in December of 2021 regarding the **** which was refunded to the client at that time per their discussion with our representative. Therefore, there is not a credit for that service on the client's account.
As explained in the May 10th email reply from **, the client's companies were still active with the state and they were still utilizing our services for their companies, until we resigned as the agent in January 2023 for non-payment of service. We do not accept cancellations for service by phone. The client either needs to email ** or cancel via their account dashboard online, and they had not performed any of the necessary filings with the state to be able to cancel their services.
A registered agent is legally responsible for accepting and forwarding to the client, any notifications that come from the state or any legal service of process. Per our Terms and Conditions, a client must either change their registered agent or voluntarily dissolve their company with the state, prior to their renewal due date, before our authority as the agent is legally terminated and we are able to cancel the service.

The client was sent 3 billing notices for each company advising them of the service, the fees, the information required to cancel the service, and how to properly cancel the service. The emails were sent in September, October, and November, prior to the renewal dates in November.
While the accounts have already been submitted to a collection agency for costs incurred, we are always willing to work with our clients to bring their accounts back to good standing. The client can contact us at any time during our business hours to work on a settlement for their account.

I am rejecting this response because: I called the company 2022.11.29, & notified them that the ** entity was not a going concern, has been dissolved, & I was, myself, working with the ****************** about this matter. Therefore, I did not need services for the ******************. As far as ** is concerned, during the Nov 28th, call I told the person that I was supposed to have a credit of about $90 for the *** issue that should have covered most of the fee. I had to go to a meeting & the person said they'd look into & get back with me about any difference due. Since no one called back, I assumed that it was still be reviewed.I have attached a print of the email that I sent to them today & last week. I do not need services for **. I told the company this. It makes no sense that I would have registered agent services for a company that is not a going concern & for which, I am working with the state myself. As far as OH, I have asked them what is due, as well as if any of the amount due is for registered services for 2023. I am awaiting a response.

Hello ** ***,
Unfortunately the part that the state does not advise you of (because they consider it legal advice, which they will not provide) is that when your company is no longer in good standing or goes into administrative dissolution status for failure to file reports or pay taxes, that the entity is not legally dissolved and the responsibility of the registered agent continues. Administrative dissolution only suspends your company's right to conduct business until you either properly dissolve, or reinstate the entity back to good standing. The entity can still receive service of process (which the registered agent is legally obligated to receive and forward) and the owners of the company could now be personally liable for any lawsuits and debts.
That is why it is in our terms and conditions that in order to cancel your service, you must either file a voluntary dissolution or change the agent with the state prior to your renewal due date. Your company in ******** was still a legal entity and we were still listed as your legal agent, up until the date that we resigned.
I provided the breakdown of the charges currently due for each company in my previous email. The fees currently due for both companies include any state fees we had to pay to resign as the agent, partial year registered agent fees for the time we were your agent between the due date of the service and the time we resigned, and collection fees.

In regards to the *** obtainment, we only charge $59.00 for an *** obtainment on it's own. When bundled with a package, that amount is heavily discounted, which resulted in the $30.00 refund. There is no way we could offer to refund you $90.00 on an item that, at full retail price, is only $59.00. The most I could offer you as an additional refund on the *** obtainment is $14.25, which I can deduct from the fees that you currently owe for ********, leaving a balance of $72.75.
