    ************** delivered the full scope of contracted Generative AI Advisory and ***************** services to Aloha AI under a signed *************** Agreement (MSA) executed on January 26, 2025, and conducted between February 37, 2025 in accordance with the agreed schedule and deliverables.The engagement included a five-day executive workshop series led by ******** advisory team, covering Generative AI applications across multiple sectors housing, education, healthcare, environment, and defense along with customized strategy sessions, interactive discussions, and follow-up planning meetings with Aloha AIs leadership team.Following completion of the engagement on February 7, 2025, ************** issued Invoice #**** on January 26, 2025, in the amount of $51,600 USD, which included a discounted professional fee and reimbursement for travel expenses as outlined in the MSA.Despite successful delivery, documented participation by Aloha AIs team, and multiple written follow-ups, no payment has been made to date. On July 28, 2025, Aloha AIs CEO, ****** ********* (Shim), acknowledged receipt of the invoice and confirmed her inability to pay (I dont have the money to pay this invoice. If I did I would have paid it).************** has since sent repeated reminders and a Final Demand Letter, but has received no response and no proposed payment plan.This constitutes a clear breach of contract and nonpayment for services rendered, as defined under Section 2.3(a) of the signed *** and governed by California law (Section 11.2).
