    On July 10, 2025, the U.S. Securities and Exchange Commission (SEC) filed a complaint in the U.S. District Court for the Northern District of Georgia against First Liberty Building & Loan, LLC and its founder, Edwin Brant Frost IV. According to the SEC, the defendants allegedly operated a Ponzi scheme that defrauded approximately 300 investors of at least $140 million. The complaint states that, from 2014 through June 2025, the defendants offered promissory notes and loan participation agreements promising high returns, while falsely representing that investor funds would be used to finance short-term business loans. The SEC alleges that the majority of those loans ultimately defaulted, and that new investor funds were used to pay previous investors. It also alleges that Mr. Frost misappropriated investor funds for personal use, including credit card payments, rare coin purchases, and family vacations.



    The complaint charges violations of the antifraud provisions of federal securities laws and names five entities controlled by Mr. Frost as relief defendants. The SEC requested and was granted emergency relief, including an asset freeze, the appointment of a receiver, and other preliminary remedies. Without admitting or denying the allegations, the defendants and relief defendants consented to the SEC’s requested emergency and permanent relief. The matter remains pending.
