      Corporation Service Company (CSC) is listed as the secured party representative on four UCC-1 liens against my business (Enterprises of ******, LLC) in South Carolina. These liens are either tied to equipment that was paid off years ago or are blanket liens filed with no reference to any valid debt. I’ve made repeated attempts to contact CSC by phone and email over several weeks to obtain basic information or initiate termination.

      CSC refuses to provide any details, claiming they are just the filing agent. They will not identify the actual secured party and have not taken any steps to resolve the issue, despite being notified that these filings are blocking our ability to raise capital.

      I have given CSC proper notice under UCC § 9-513, which states the secured party must terminate a lien within 20 days after a debt is satisfied. They have ignored this legal obligation. I am now forced to file UCC-3 terminations myself and escalate the matter.

      This is an abuse of the public record system and is actively harming my business. I am filing this complaint to document CSC’s refusal to cooperate and failure to act in good faith.

      CSC acts as the secured party
      representative on UCC financing statements filed by certain commercial lenders
      as a method of preventing abuse of public records for sales and marketing
      purposes.  Each such UCC record includes the
      USPS address through which interested parties may inquire for more information
      and to be put in contact with the actual lender that CSC represents (CSC cannot
      release information over the phone).  In
      addition, each of the UCC records that list CSC as representative of the
      secured party includes an email address for a quicker response.  Upon receipt of an email inquiry by a debtor,
      legal counsel or government representatives, CSC responds promptly with the
      name and contact information for the represented secured party who is the
      lender or servicer.  Note that for
      privacy and security reasons CSC cannot release information over the phone.

      In this case, the complainant sent the
      email inquiry to several email addresses at CSC in addition to the email
      address designated on the UCCs for inquiries about the financing
      statement.  Due to an automated workflow
      issue, the system placed the emails from the complainant in a holding queue and
      they were never released to the team that handles the responses.  Upon discovery of the issue, CSC promptly
      responded to the complainant with the identify contact information for the two
      different lenders represented by CSC as secured party on the financing
      statements.  In addition, CSC taking
      action to remedy the workflow issue so this issue cannot repeat.

      Continues to send recurring invoices for dissolved companies. Refuses to cancel service after 4 requests.

      I contacted the client and left a voice mail to discuss the state of UT, which appears to be the only state out of the four that is still active showing us as the register agent.  That is the purpose for the invoice the client is disputing.  As of today we have ceased any further collection activities on this account and we are resigning as agent.  There may be another automated invoice that the client may receive because of the mailing cycle, but after that they will cease.

      CSC continues to mislead young entrepreneurs by falsely claiming that their services can only be cancelled via filing with secretaries of state in every jurisdiction. I never even signed up with CSC; they are a backend provider for an incorporation front-end called Clerky, popular with the inexperienced Y Combinator set. I had no business relationship with CSC directly.They have misrepresented themselves to me no less than 5 times now (4x in writing, this 5th time by voicemail). Even in "response" to this BBB complaint, they maintained the fraudulent position that their services cannot be cancelled, as shown in the transcript of the attached voicemail! To add incompetence to injury, they also indicate that /I still may yet receive future invoices/!The only resolution I will accept at this point is:a) a full refund of all funds paid by my business to CSC under these fraudulent pretenses since 2022 (~est. $2000)b) an public apology to all their customers, posted on their home page for Corporation Services Corporation and "incorporate.com", whatever that is, plus all additional brands in their portfolio c) a termination of CSC's relationship with Clerky so that other young entrepreneurs will not be scammed out of valuable company resources

      CSC was hired by Clerky to perform the services rendered. CSC has
      cancelled all open invoices, resigned as registered agent in the relevant
      states, and closed this account. If the claimant has further concerns about CSC
      being hired as a vendor for their entity, they should address those with
      Clerky. CSC considers this matter closed.

      1800 accountant called me and asked me if i wanted to have csc handle my business i responded that i had no idea. Next thing i know csc sends me a bill i told them to cancel over and over again by email and phone i told them that i never bought there services in the first place! Not only have they not canceled like a asked they are trying to renew for next year and have sent a creditor after me for over 400 dollars my company name is ****** junk removal and hauling. i hurt my back and have not been hauling junk i have done no business threw this company. i want separate from csc they are a lot like my ex wife! and i do not want to have to pay them a dime not one red cent

      CSC is in receipt of complaint 22702435 from Mr. ***** ******. 

      Upon review of CSC records, it was determined that Mr. ****** was billed for services provided.  Ms. ***** ********, Manager of Client Service, spoke with Mr. ****** on December 18th.  During that conversation, Mr. ****** acknowledged understanding of the invoices received.  Mr. ****** explained that he is in the process of changing registered agent, at which time the invoice for that service will be credited by Ms. ********.  It was agreed the invoice for the filing of his company’s annual report will remain his responsibility as services were completed. 

      Should Mr. ****** wish to contact CSC with any additional questions or concerns, he may do so by reaching out to Ms. ***** ********, Manager of Client Service, at ************ ******* 

      CSC now considers this matter closed.

      I never signed up with csc's registered agent services and asked them to cancel repeatedly over the coarse or 2024 they finally told me to before 2025 what I had t do to cancel was start with another company for 2025 for registered agent services in Idaho so I did. They are now trying to bill me for the years 2024 and 2025 even though I am with another company for the entire year of 2025. I want to whole bill for given both years since I never asked them for services I did not sign anything with them at all. I currently work nights and only have time once a week to take care of this stuff thanks

      Ms.
      ***** ********, Manager of Client Service, attempted to reach out to Mr. ******
      on 2/19/25 to discuss his ongoing concerns and the bill remaining on account for
      services rendered, which Mr. ****** acknowledged and agreed to pay in December
      2024 when he first spoke with Ms. ********. 
      She was unable to contact him by phone. 

      To
      resolve this issue, Ms. ******** has credited the remaining open invoice as a one-time
      courtesy.  Mr. ****** does not currently
      have an account balance with CSC.  Ms. ********
      sent a follow up email to Mr. ****** with this information on 2/20/25. 

      CSC
      now considers this matter closed.

      I emailed CSC to cancel my Registered Agent Services on 5/10/23, and received an email confirmation that the account was closed - see attached. Please note - the Agent Services were paid in advance the previous year, for services from 6/1/2022 to 5/31/2023. I thus cancelled before the services expired, and would have been actually due a prorated refund for the unused portion.

      Even though I had cancelled, I keep receiving both email and paper invoices asking for payment for the next year of services (which again - I am not using as I've already cancelled). I keep complaining via email but receive absolutely no response. Attached are some samples, including the last payment request arrived today.

      I request that this business stop sending me bogus invoices for services that are not being rendered.

      CSC has researched the BBB
      complaint #20220251.  It was confirmed
      that Mr. ************* reached out to cancel Registered Agent services, which was
      completed per his request.  Mr.
      **************s original request did not include cancellation of Address and
      Mail services, which is what the invoice being sent to him was for.  To resolve Mr. **************s concerns,
      these services have been cancelled and the invoice has been removed from his
      account.  A representative attempted to
      contact Mr. ************* to explain the situation and determine if there is
      anything else we might be able to do to assist him.  Mr. ************* was unable to be reached by
      email or phone.  At this time, CSC
      considers this matter to be closed.

      The Company Corporation is not being truthful. As you can verify, the invoices I have been receiving after my cancellation are still for $350, which is the same amount I have always been paying. The bill includes $200 for Address and Mail Service, and $150 for Registered Agent Services. The business statement on BBB seems to indicate they misunderstood me and only cancelled the Registered Agent Service. But... 1 - The invoice's total amount due is still for the full $350 which includes that service2 - The "We misunderstood the customer" excuses does not hold water since I've sent numerous complaints about the non-cancelled services, all of which went unanswered. The behavior seems an attempt to flood me with invoices hoping that I would get tired and eventually pay for cancelled services.The company did eventually inform me they cancelled everything for real after my complaint to the BBB. But I shouldn't have resorted to this extreme measure just to cancel a service.
