The letter below was emailed to my family member after an extensive phone interview and a 'written response' (via email) was requested by Josh Evans' questions. Miouri Automotive Group Interim Headquarters Salt Lake City, Utah 9/19/2025 NAME DELETED Dear NAME DELETED, It is with great excitement and deep respect that we extend this formal offer for you to join Miouri Automotive Group as our Vice President of Operations. Your leadership, operational mastery, and commitment to technician culture align powerfully with Miouri’s founding vision: to build a legacy-grade brand rooted in restoration excellence, serialized build mythology, and immersive educational environments. As Vice President of Operations, you will serve as a cornerstone of our executive team, overseeing build logistics, technician onboarding, ceremonial delivery protocols, and the activation of our interim headquarters. You will help architect the operational backbone of Miouri’s six divisions, including Miouri University, and guide our transition from startup ignition to national scale. Position Details Title: Vice President of Operations Start Date: 10/13/2025 Location: Salt Lake City, Utah (with travel to build sites and ceremonial events as needed) Reporting To: Founder & CEO, Josh Evans Compensation: $280,000 annually, plus performance-based incentives and equity participation Signing Bonus: Executive shall receive a one-time signing bonus of $5,000, payable within 30 days of the start date. This bonus marks your ceremonial entry into Miouri’s Founding Circle and honors your commitment to building our operational legacy. Benefits: Health, dental, and vision coverage; paid time off; ceremonial sabbaticals; and access to Miouri’s serialized build program Performance Incentives: Eligible for annual bonus up to 25% of base salary, based on key performance indicators mutually agreed upon. Equity Participation: Executive shall be granted 2.00% ownership interest in Miouri Automotive Group, represented as 200,000 shares of Common Stock (subject to final cap table and shareholder agreement). This equity reflects the Executive’s foundational role in shaping Miouri’s operational legacy and ceremonial delivery protocols. Vesting Schedule: 4-year vesting with a 1-year cliff. 25% vests after 12 months of continuous service, with the remainder vesting monthly thereafter. Ceremonial Accelerators: 10% of the remaining unvested equity shall vest immediately upon successful activation of Miouri’s interim headquarters. An additional 10% shall vest upon ceremonial delivery of the first serialized build. Type: Common Stock (or Stock Options, subject to the Company’s equity structure and 409A valuation). Tax Considerations: The Executive may elect to file an 83(b) election within 30 days of the grant, if applicable. He arranged a meet date at a location on Jimmy Doolittle Drive in Salt Lake City, (no address that he 'could recall' during phone call.) He wanted to introduce her to 'everyone there' and stated that he had her 'signing bonus check' to give to her at that meeting. He cancelled meeting and said it would probably take place in a few more days. That was the last time communication by phone call took place. Next two were texts only, using his travel schedule and family emergency as excuses, No further communication was ever received and her texts went unanswered.
