HSG Reality and their clients sought and utilized a loophole in Missouri statute 48.4-109.1 RSMO in order to intentionally circumvent and break a sales contact entered on 8/29/23. This statute specifically refers to the Condominium Resale Certificate and Rider which prescribes the Seller shall provide Buyer with information in form #2141 Condominium Resale Certificate. I attest the buyers received said Resale Certificate on 10/19/23. Two days later, we were notified by the buyer's realtor of their intent to walk away from the purchase of the property. I'd like to note that the same buyers purchased a different unit within the same condominium building during the same time they were in contract to purchase my unit. I have reason to believe that HSG Reality and their buyers used a loophole in this statute to absolve their buyer's obligation to the sales contract and that it had absolutely nothing to do with the Resale Certificate we provided. It is my understanding that the intended purpose of providing the Resale Certificate is to allow the buyer an opportunity to review the financial actuals of the HOA. I was not aware this statute could be used to allow buyers to circumvent and thus breach contractual obligations when all other terms have been met. When we asked the buyers realtor to share what specifically they found objectionable, the buyer's realtor' only response was that the buyers simply no longer wanted to purchase the property. As the seller, I honored, in good faith the sales agreement and was blindsided by the buyer's intent to walk away a month later with no reason other than they had searched and found a loophole allowing them to do so. Neither my realtor nor the owner of the company have ever heard of anyone using this statute to break a sales contract in this manner. I find this act highly unethical. This loophole in the statute should be addressed immediately to protect the integrity of the real estate sales marketplace for sellers and buyers alike.
