      My firm Gateway Clinical (GC) had an existing individual distributor who served as the path of introduction that led to GC with executives ******************* (VP Sales) and *********************** (Pres.) at ACS; several times in early 2021 to discuss having a wholesale pricing distribution agreement with ACS for equipment GC is sales, training, servicing and prototype liaison for the manufacturer of cutting edge diagnostic testing. I trained regional reps on calls progressing to requests for contracts which ACS facilitated. ACS was internally financing several deals and had taken down payments, ACS would be the point of service and support for wholesale pricing; I would initially train the reps by having them learn from my live training and servicing of the clients. In October ACS requested an invoice for 2 units, signed contract and deposited funds. yet was informed one customer filed a service/complaint, the initial threshold for the financing was paid to ACS, yet a cash flow left them short of Wholesale price to GC. Panic to mitigate the complaint ACS begged GC purchasing the unit, and then financing payments for this client, the second client and a third would all be wired direct to GC. I explained I would have to personally buy the unit, a large credit expense, and GC would reimburse me, though I had no contract with this client. yet I was assured by *********** repeatedly more than the wholesale pricing would come appreciation for helping them out of a vexatious client situation. I personally bought, shipped, trained. The doctor not paying why GC was not paid I was told . Next week *********** said CEO said no payment. After weeks of this, ACS stopped responding entirely since Dec . I have be servicing The doctor personally, and license, and warranty; the been placed in liability. When questioned in July ACS claimed the Clients still had not paid. Yet the clients have sent statements they had paid in full this spring. The situation has had reached a status of moral terpitude

      Date of transaction: 1/6/22 *******************, *** and ***********************, VP of ACS said they sell remanufactured ECP medical beds with computer, software, training, maintenance, warranty and support and both of them said it was in stock and ready to ship ("delivery takes a day") at the time of sale on 1/6/22. After sale there was no training, no equipment, no service, no paperwork, no warranty, multiple reasons given almost weekly why they could not deliver product for over 5 months. At 3 months I filed fraud complaint with bank. ACS wrote to bank stating that they the product was delayed for over 5 months due to lack of replacement part. The refurbished ECP medical bed I was told by the *** ******************* and VP *********************** was refurbished to orignal quality, would last for several generations and was designed to operate for hours a day every day and included warranty, maintenance and repair and service support, training, a new computer and software and delivery. After the sale I got no service, only promises and delays and different stories for delays from *********************** and ******************* such as traveling, "it takes time to do it right", being sick, employees being sick, going to a meeting to discuss "schedule" and "will follow up" but don't, and it would be ready to deliver "next week" several times. At the time of purchase *********************** said it could be delivered in a day or next week and said to buy it right away because it was in stock and they sell out fast in 1-2 days. ******************* said to buy it because he wanted to ship it to me ASAP. The credit card company contacted them and they responded that the 6 month delay was due lack of a missing part. Their used 20 year old refurbished bed that can't run for 6 months due to a missing part that I paid in full for 6 months because it was "in stock" then and they can not service or provide a replacement, even if their reason is true, is junk. It's over 8 months. Honest businesses would cancel and refund the order long ago.
