The Ohio Secretary of State posted an alert concerning this type of solicitation on their website at http://www.sos.state.oh.us/SOS/businessServices/alert.aspx which states:"Despite the implications contained in the solicitations, Ohio corporations are not required by law to file corporate minutes with the Ohio Secretary of State's Office."
