      Tip Club represented it would hold monthly in-person meetings at ***** ****** **** in Dallas at 9 a.m. on the second Wednesday of each month. I purchased a 2-year membership based on that representation. Tip Club changed the meeting time from 9 to 10 for two meetings without notice. When I arrived at 10, the meeting was over. Then Tip Club canceled the October meeting the night before. I learned that Tip Club lost its Dallas meeting organizer and the location host did not intend to continue lending space. Therefore, I asked for a partial refund of my first year's membership and a complete refund of the second year's membership. Tip Club initially responded insinuating the refund did not belong to me, but to my law firm (I paid for it personally). When I stated that it was fine to send it to my firm, Tip Club avoided responding to my request for refund and instead sent the highly unprofessional emails attached. I simply want the refund i am entitled to. In fact, even though Tip Club's Terms & Services state that if you cancel, your membership will continue for the term paid for, Tip Club removed my access to its platform. So it kept my money after it breached its contract, and further breached by withholding the platform.

      Facts of the matter: - On Jan 18, 2024 the client paid to to be an exclusive member of our Dallas business networking group.  Like with most networking groups, participation in our groups is vital.  By August, this member’s attendance fell under 50% (a 70% attendance is required to retain membership).  Therefore, the client’ membership was to be terminated.  - Our member requirements and rules are clearly stated on our website, T&C’s, and membership agreement: A member’s attendance cannot be less than 70%.  Furthermore, it is stated “All sales are final and non-refundable”, and the client agreed upon our T&C’s upon purchase (see attachments A, B & C).  - In addition, we dispute the client’s specific claim of “times changed for meetings 3 times without notification” (which she later contradicts in her BBB complaint).  There was a single meeting in July whereas the time was changed from 9:00am to 10:00am at the request of the group leader.  All the attendees were notified by Eventbrite (see attachment D) and followed up with the next day with an email (see attachment E).  No members reported an issue with the one-time change in time including the client, who was sent all the sales leads and referrals after the respective meeting (see attachment E).  By the next meeting, the time was moved back to 9:00am. - The client continuously contradicted herself.  For example, in the complaint to the Better Business Bureau she stated one thing, which was different from the original email she sent to us (see attachment F). - Our members are required to act “honestly” and “in good faith”.  We found out this member was the President of a BNI networking group (see attachment G) and we believe that she was primarily using our networking group to recruit members to her own competing networking group.  After further investigation, we found this to be true (see attachments H & I).  Through her continuous poaching of our members and guest, we believe this client acted in bad faith which caused our Dallas networking group to lose numerous memberships and cost our organization thousands of dollars in revenue. - In the initial email from the client, she accused of our organization of fraud even though she had no basis to do so (see attachment J).  The client stated in her initial email to us: Be advised that if I do not hear from you or receive this refund within 3 business days, I will demand the entire membership fee be refunded, seek damages for fraudulent inducement, plus attorney’s fees as I will be pursuing legal not only on my behalf, but also on behalf of other members who were fraudulently induced to purchase memberships. This claim was asserted without merit, inflammatory, and frivolous as the client did not present any evidence to support her claim of fraud.  The State Bar of Texas clearly states: TEXAS DISCIPLINARY RULES OF PROFESSIONAL CONDUCT Rule 3.01 Meritorious Claims and Contentions: A lawyer shall not bring or defend a proceeding, or assert or controvert an issue therein, unless the lawyer reasonably believes that there is a basis for doing so that is not frivolous.   Due to the facts of the case, the client’s membership was terminated, was not entitled to a refund, and her conduct will be reported to the State Bar of Texas and American Bar Association.
